Non-Profit Referral Agreement

This Referral Agreement is made between Indianapolis Superstructures, LLC (Company) with offices at 9689 Castle Woods Cove, Indianapolis, IN 46280 and ________________ (Non-Profit) with address at _________________________________ on the ____ day of ___________ 2008.

The above parties agree to enter into a Referral Agreement as follows:

The Non-profit or its members may periodically become aware of an individual(s) who is interested in having a new home built in Central Indiana. A member of the Non-Profit will verbally refer the prospect to the Company. The prospect shall inform the Company that they have been referred by the Non-Profit. The Company shall confirm to the Non-profit that a referral has been received.

A $2500 referral donation shall be made to the Non-Profit if and when the Company completes construction of a new home for the above prospect.

Only one referral donation of $2500 shall be made per home.

This agreement may be terminated by either party by given written notice to the other party. In the event a valid referred construction contract has been already signed, the associated referral donation of $2500 shall be made to the Non-Profit upon completion of construction of the home.

The Non-Profit is not an employee of the Company and has no authority to commit or represent the Company in any way other than stated in this Non-Profit Referral Agreement. The Non-Profit is responsible for any applicable taxes on the donation. The Non-Profit is not responsible in any way for the performance of the Company and shall be held harmless in the event of any dispute between the Company and referred prospect. This Non-Profit Referral Agreement does not constitute an endorsement of Indianapolis Superstructures, LLC by the Non-Profit.

This agreement is non-transferrable.
